POSITION: Corporate Counsel, Investments Law - Products, Distribution, & Operations Unit

POSITION: Legal Counsel for Regulated Industries

PURPOSE AND OBJECTIVE:

SAP is seeking a Legal Counsel to support its Regulated Industries sales organizations, including On-Premise and Cloud, professional services, development, and other teams.  Prime responsibilities include drafting and negotiating multiple complex technology license, service, and related agreements to help achieve SAP’s business growth strategies and objectives, within SAP risk tolerances, while maintaining SAP policies, and complying with applicable laws.  In addition, the position may support one or more internal lines of business/practice areas such as marketing, bankruptcy, financing, M&A, etc. You will act as a  prime contact for the relevant sales and related business teams and provide legal advice and counseling on a wide variety of matters, including intellectual property, licensing, services transactions, and license compliance matters.  

A significant portion of the business to be supported will be with Public Sector customers - federal, state, and local governments and prime contractors and government resellers. You will need to apply in-depth knowledge of Public Sector contracting practices, including public bid and proposal processes, and applicable laws and regulations; and have experience in the public contracting area.

REQUIREMENTS:

This position requires independent thinking with strong communication, negotiation, and analytical skills, superior business judgment, the ability to resolve complex issues in an effective and solution-oriented manner, and the ability to manage multiple projects and transactions at the same time. You will need to demonstrate the ability to draft and negotiate complex agreements, work with sales and services professionals, pricing and revenue recognition teams, and others, in a fast-paced environment.  The ability to work with a team across a wide organization is critical.  This position spends a significant amount of time in customer-facing negotiations (SAP office and on-site at customer locations as required). Experience in the software sector is strongly preferred.

DUTIES AND RESPONSIBILITIES:

  • Work directly with customers and partners to prepare, negotiate and draft direct customer contracts.  Responsible for negotiating and resolving contract issues in all company lines of business, including without limitation licensing services and development agreements;
  • Work closely with internal Contracts, Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process;
  • Verify customer user and pricing information provided in the Order Form with the Quote Tool provided by Account Executive, and work with Revenue Recognition team to ensure final business and contract terms do not cause revenue deferrals;
  • Support of Internal Line(s) of Business and/or Practice Area(s) – Support business leaders and teams on various issues related to such areas;
  • Support might include overseeing outside counsel, working on a matrix team with the business, helping to develop/support new programs, etc.
  • Internal Customer Support:  interface with sales, services account teams, their management, and other lines of business representatives to provide support and training as well as knowledge transfer;
  • Advise personnel of the legal ramifications of past and proposed actions, and formulate solutions to problems;
  • Anticipate problems and initiate actions to resolve them using professional qualifications and experience and in accord with company policies and procedures;
  • At the direction of General Counsel or Assistant General Counsel, collaborate with legal colleagues (global and local) and relevant F/A functions with respect to the creation of new or updated programs, development of contract templates, manuals, and other materials in support of such programs in accord with SAP policy and procedure, while mitigating risk to the company and achieving regional/global consistency;
  • Special Projects: Perform special projects as assigned by the supervisor.

EDUCATION AND SKILLS:

  • Juris Doctor - Graduation from A.B.A. accredited law school;
  • Preferred: intellectual property expertise and complex transaction experience in the areas of software licensing, Cloud services, professional services, e-contracts, and delivery of associated services;
  • Experience with public sector contracting (federal, state, and local) is strongly preferred;
  • Active membership in at least one state bar;
  • At least 3-5 years experience with software/Cloud licensing.

POSITION: Senior Director, Corporate Counsel, Americas Privacy Officer

The Senior Director, Corporate Counsel, Americas Privacy Officer works closely with internal business partners to advise the business on  privacy and data security requirements, controls, and best practices for contracts, projects, products, and services in North and South America.  

Essential Functions of the Job (Key responsibilities):

  • Develop and execute the Americas Privacy Plan in connection with the development and implementation of technology, processes, products and services coupled with evolving privacy and data protection laws in North and South America.
  • Perform legal analysis of Americas Privacy Assessments ensuring appropriate contract language and transfer requirements are in place (as applicable).
  • Serve as de facto DPO in Americas (including managing Americas privacy incidents and responding to data subject requests).

  • Assist/work with Global Privacy Officer, Data Protection Officers, and Cybersecurity with on data incident response, including assisting with preparation of required notifications pursuant to breach notification laws
  • Assist with the drafting of privacy and information security policies, procedures, training materials and the like.
  • Coordinate with outside counsel to advise clients on privacy and security matters.

Qualifications (Minimal acceptable level of education, work experience, and competency):

  • J.D degree as well as membership in good standing in at least one state bar.
  • A minimum of five (5) years of applicable law practice experience.
  • A minimum of five (5) years of experience in the pharmaceutical, biotech or life sciences industry.
  • Significant experience in privacy and data protection, solid working knowledge of global data protection laws, liability issues, contract preparation and negotiation.
  • Knowledge of data classification, data mapping and data management methodologies desired.
  • Certified Information Privacy Professional (CIPP) or other related certification strongly preferred.
  • Strong written and verbal communications skills, including the ability to communicate concisely to clients.
  • Ability to manage multiple tasks simultaneously and to flourish in a fast-paced environment.
  • Excellent organization, project management, and prioritization skills.

POSITION: Senior Director/Director, Compliance Monitoring, Risk & Investigations

This position reports directly to Incyte’s Chief Compliance Officer and is responsible for management and oversight of Incyte's Global Monitoring, Risk and Investigations function.  The role is located in Incyte’s global headquarters and is responsible for developing, managing and conducting Incyte’s Compliance Monitoring program, leading and enhancing Incyte’s Compliance Risk Assessment process and leading Incyte’s Compliance Investigations and related systems and reporting. 

Essential Functions of the Job (Key responsibilities):

  • Monitoring
    • Develop annual plans for monitoring activities based on risk assessments, results of current and prior audit and monitoring activities, outcomes from investigations, and other sources including regulatory and enforcement trends.
    • Develop and manage monitoring tools and processes.
    • Lead and manage data, transaction, and live monitoring activities.
    • Increase utilization of data analytics in monitoring approach and execution
    • Organize and evaluate facts and evidence and draw sound conclusions in relation to monitoring activities and processes.
    • Oversee maintenance of monitoring files, evidence, and other records.
    • Prepare timely, accurate, and complete reports with corrective action recommendations and follow-through with key stakeholders for implementation.
    • Develop, prepare, and manage periodic reporting of results to senior management.
    • Conduct analysis to understand factors contributing to potential policy violations, develop recommendations and assist with the design of controls and standards for identified gaps in monitoring activities.
    • Assist in the identification of compliance program enhancements, including training needs, policy updates and other improvements.
  • Risk Assessment
    • Develop, manage and maintain Incyte’s internal Compliance Risk Assessment and Product Risk Assessment processes.
    • Engage relevant business and legal stakeholders to conduct ongoing risk evaluations.
    • Prepare reports for business stakeholders outlining Risk Assessment results.
    • Assist in development of annual Compliance planning/objectives based upon risk assessment results.
    • Lead/Manage Risk Oversight Council by planning quarterly meetings, delivering updates to applicable team members, leading meeting with Chief Compliance Officer, and developing reports and deliverables to the Executive Team on behalf of the Risk Oversight Council.
    • Lead, Manage, and/or oversee Risk Management sub-groups that manage high risk activities or emerging risks (when applicable).
  • Investigations
    • Manage Incyte’s Compliance Investigations function by leading data gathering, interviews, and other fact-finding activities to understand the allegation or issue.
    • Manage Investigations System by performing timely updates to cases in the system and ensuring each case is properly documented.
    • Coordinate with applicable Incyte departments (including HR) to review evidence for each investigation and developing and documenting Compliance recommendation for each investigation.
    • Prepare reports summarizing Investigations activity for Incyte management, including Global Compliance Committee.

Qualifications (Minimal acceptable level of education, work experience, and competency):

  • BA/BS degree required; Advanced Degree preferred.
  • 12+ years of relevant experience preferably in the bio/pharmaceutical industry.
  • Knowledge of and experience with laws, regulations, and industry guidance that affect the pharmaceutical industry including federal and state government price reporting laws, fraud and abuse and anti-kickback statutes, OIG and PhRMA guidelines, state marketing compliance laws, the Foreign Corrupt Practices Act, the UK Bribery Act, and other anti-bribery laws.
  • Experience independently planning, conducting, and overseeing complex auditing, monitoring, risk and/or investigation activities.
  • High level of discretion and ability to maintain confidentiality of sensitive company matters.
  • Strong detail orientation and focus on quality work product.
  • Ability to manage and prioritize projects under tight deadlines.
  • Strong written, oral communication, interpersonal, and organizational skills.
  • Strong computer skills including knowledge and experience using Microsoft applications including Excel, Word, and PowerPoint.
  • Strong data analytics skills with the ability to summarize, analyze and communicate large, complex data sets.
  • Ability to travel 10-20%.
